Bookly Sync Plugin License Agreement

Effective Date: 2023-01-01

This WordPress Plugin License Agreement (herein after referred to as the « Agreement ») is entered into between the End user (hereinafter referred to as the « Licensee ») and the author of the WordPress plugin named Ingenisoft Inc. (hereinafter referred to as the « Licensor »). The Licensee and the Licensor are collectively referred to as the « Parties. »

Purpose of Agreement

This Agreement governs the use of the WordPress plugin Bookly Sync, developed by the Licensor. The plugin and all its associated features shall collectively be referred to as the « Plugin. »

License to Use

  1. The Licensee is granted a non-exclusive, non-transferable license to use the Plugin on a WordPress website only for personal or commercial use.
  2. The Licensee is not authorized to resell, redistribute, or share the Plugin in any form, whether for free or for profit.
  3. The Licensee is not authorized to modify, disassemble, reverse engineer, or alter the source code of the Plugin, except with express permission from the Licensor.

Updates and Support

  1. The Licensee may receive free updates to the Plugin provided by the Licensor, unless otherwise indicated.
  2. No technical support is provided to the Licensee.

Intellectual Property

  1. The Licensor retains all intellectual property rights in the Plugin, including copyrights and related rights.

Limitation of Liability

  1. The Plugin is provided « as is, » without any warranties, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.
  2. In no event shall the Licensor be liable for any direct, indirect, special, incidental, or consequential damages arising out of the use or inability to use the Plugin.

Termination

  1. The Agreement may be terminated by either Party in the event of a material breach of the terms and conditions set forth in this Agreement.
  2. Upon termination, the Licensee must immediately cease all use of the Plugin and destroy all copies in its possession.

General Provisions

  1. This Agreement constitutes the entire agreement between the Parties regarding the use of the Plugin and supersedes any prior or contemporaneous agreements.
  2. Any amendment or modification to this Agreement must be in writing and signed by both Parties.
  3. This Agreement shall be governed by the laws of Canada / Quebec, and any legal action arising from this Agreement shall be brought before the competent courts of that jurisdiction.

By using the plugin, the Licensee acknowledges having read, understood, and agreed to the terms and conditions stated above.
